Welcome to KrakDBench ("Company," "we," "us," or "our"). By accessing or using our software-as-a-service platform (the "Service"), you agree to be bound by these Terms of Service (the "Terms").

PLEASE READ THESE TERMS CAREFULLY. They contain important restrictions on your use of the Service, including a prohibition on reverse engineering, web scraping, and the use of our Service to train artificial intelligence or machine learning models.

1. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations. This license is strictly personal to you and your authorized employees and may not be shared or used by any third party.

2. Prohibited Uses & Restrictions

You agree that you shall NOT, directly or indirectly, under any circumstances:

• Reverse Engineer, Decompile, or Disassemble: Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, underlying algorithms, trade secrets, or structure of the Service or any part thereof.
• Modify or Create Derivative Works: Modify, translate, adapt, arrange, or create derivative works based on the Service, in whole or in part.
• Web Scraping & Data Extraction: Use any automated system, including but not limited to "robots," "spiders," "offline readers," "scrapers," or "crawlers," to access, copy, harvest, mine, or extract any data, content, or analytics outputs from the Service in a manner that sends more requests than a human can reasonably produce.
• AI / LLM Training: Use the Service, any underlying datasets, any generated analytics, reports, or insights as input, training data, feedback, or reinforcement data for any artificial intelligence (AI), machine learning (ML), large language model (LLM), deep learning, or similar generative or discriminative model created or operated by you or any third party.
• Competitive Analysis: Use the Service to build a similar or competitive product, service, or AI model, or to benchmark or monitor the performance, availability, or functionality of the Service for competitive purposes.
• Copyright & Proprietary Notices: Remove, alter, or obscure any proprietary notices, labels, or marks (including trademarks, copyright, and patent notices) from the Service.

3. Intellectual Property Rights

The Service, including its source code, object code, architecture, design, user interface, algorithms, trade secrets, and all related documentation are the exclusive property of KrakDBench. You acknowledge that the Service contains valuable trade secrets and confidential information of the Company. All rights not expressly granted to you in these Terms are reserved by the Company.

4. Your Data & Privacy

You retain full ownership of any data you upload to the Service ("Your Data"). By uploading Your Data, you grant us a limited license to process, store, and display Your Data solely to provide the Service to you. We will never use Your Data for any other purpose, including training our own AI models, without your explicit written consent. Our use of Your Data is governed by our Privacy Policy, which is incorporated into these Terms.

5. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, including any of the Prohibited Uses in Section 2. Upon termination, your license to use the Service immediately ceases, and you must cease all use of the Service and promptly delete any proprietary information in your possession.

6. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you irrevocably consent to the personal jurisdiction of such courts.

8. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
